UAC AGREES ₦19.5BN SALE OF 73.29% LIVESTOCK FEEDS STAKE TO SUNBETH

UAC of Nigeria Plc has entered into an agreement to sell its 73.29% controlling interest in Livestock Feeds Plc to Sunbeth Treenuts and Sesame Limited for ₦19.5 billion, marking UAC’s exit from the animal feed manufacturer after more than a decade of ownership.

Under the transaction, UAC will receive ₦8.85 per Livestock Feeds share in cash, subject to regulatory approvals. The consideration represents the value agreed for UAC’s 73.29% shareholding in the listed company.

UAC acquired control of Livestock Feeds in 2013. Established in 1963, Livestock Feeds manufactures and distributes animal feed and feed concentrates for the poultry, aquaculture and livestock markets, with production facilities in Ikeja, Aba and Kano and a nationwide distribution network.

UAC said that during its ownership, Livestock Feeds’ revenue increased fivefold while profitability increased 18-fold, as the business expanded its production capacity and distribution footprint.

The acquisition will bring Livestock Feeds into Sunbeth’s broader African agribusiness platform, which spans agricultural origination, producer networks, warehousing, supply-chain management, trading and processing. Sunbeth said the transaction will combine its capabilities at origin with Livestock Feeds’ established manufacturing footprint, brands, technical expertise and nationwide distribution network.

Sunbeth said its immediate priority following completion will be to work with Livestock Feeds’ existing management and employees to strengthen operational efficiency, supply-chain resilience and product quality, while supporting the company’s next phase of growth.

The transaction comes days after UAC announced the sale of its 43% interest in DP World Logistics Limited, formerly MDS Logistics, to 22 Plus Invest Limited, a member of TGI Group. The logistics transaction was announced on September 24, 2026, with financial terms not disclosed.

The Livestock Feeds disposal therefore represents the second significant divestment announced by UAC within a week, further reshaping its portfolio across its operating businesses.

Banwo & Ighodalo advised UAC on the transaction. FigPartners Africa and CardinalStone Partners acted as financial advisers to Sunbeth, while Olaniwun Ajayi LP acted as legal adviser.

Completion of the transaction remains subject to applicable regulatory approvals.
